Agreement to Terms

By accessing or using POShield's website, browser extension, dashboard, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Service

POShield is a purchase order verification service that provides an additional layer of identity verification for email communications between organizations and their vendors, resellers, MSPs, and manufacturers. The Service includes:

  • An organization verification system using Google Workspace and Microsoft 365 OAuth
  • A buyer registration dashboard for managing authorized purchasing personnel
  • A browser extension that displays verification badges in Gmail and Outlook
  • Blockchain-based verification records on the Arbitrum network

Verification Layer, Not a Guarantee

Important: Please read this section carefully.

POShield is a verification layer designed to help users make more informed decisions about the authenticity of email communications. POShield does not guarantee the identity, legitimacy, creditworthiness, or intentions of any person, organization, or communication.

The presence of a POShield verification badge indicates that an organization has completed our verification process and that the sender's email address has been registered as an authorized buyer by that organization's administrator. It does not constitute a guarantee that:

  • The email account has not been compromised or accessed by an unauthorized party
  • The purchase order or communication is authorized by the organization
  • The organization will fulfill its payment or contractual obligations
  • The transaction is free from fraud, error, or misrepresentation
  • The sender is who they claim to be beyond the scope of our verification checks

Users of the Service are responsible for exercising their own judgment and conducting their own due diligence before processing any purchase order, fulfilling any order, or entering into any business transaction. POShield is intended to supplement, not replace, standard business verification practices.

Limitation of Liability

To the maximum extent permitted by applicable law, POShield and its owner, operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue, profits, or business opportunities
  • Loss of data or unauthorized access to data
  • Costs of procurement of substitute goods or services
  • Losses arising from fraudulent transactions, spoofed communications, or compromised email accounts
  • Losses arising from reliance on POShield verification badges or verification status
  • Any damages resulting from interruption, suspension, or termination of the Service

In no event shall POShield's total aggregate liability for any and all claims arising out of or related to the Service exceed the total amount paid by you to POShield in the twelve (12) months preceding the event giving rise to the claim.

This limitation of liability applies regardless of the legal theory on which the claim is based, including breach of contract, tort (including negligence), strict liability, or any other basis, even if POShield has been advised of the possibility of such damages.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

POShield does not warrant that the Service will be uninterrupted, error-free, or completely secure. POShield does not warrant that verification badges will be displayed correctly in all email clients or browser configurations. POShield does not warrant that the verification process will detect all forms of fraud, impersonation, or unauthorized activity.

User Responsibilities

For Organizations (Buyers)

If you verify an organization through POShield, you agree to:

  • Provide accurate and truthful information during the verification process
  • Only register individuals who are genuinely authorized to make purchases on behalf of your organization
  • Promptly remove or deactivate buyers who are no longer authorized (such as employees who have left the organization)
  • Maintain the security of your Google Workspace or Microsoft 365 administrator account
  • Notify POShield immediately if you become aware of unauthorized use of your organization's verification

For Sellers (Extension Users)

If you use the POShield browser extension, you agree to:

  • Use verification badges as one factor in your decision-making process, not as the sole basis for any transaction
  • Continue to exercise standard business judgment and due diligence for all purchase orders
  • Not rely exclusively on the presence or absence of a verification badge to approve or deny any transaction
  • Report any suspected fraudulent use of POShield verification to support@poshield.com

Indemnification

You agree to indemnify, defend, and hold harmless POShield and its owner, operators, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or reliance on the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any transaction or business decision made in connection with information provided by the Service
  • Inaccurate or fraudulent information provided during the verification process

Subscription and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your selected plan
  • Provide accurate billing information
  • Authorize recurring charges at the frequency of your billing cycle (monthly or annual)

Subscriptions automatically renew unless cancelled before the end of the current billing period. You may cancel your subscription at any time through your account settings or by contacting support@poshield.com. Cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods.

POShield reserves the right to modify pricing with 30 days advance notice. Price changes will take effect at the start of the next billing cycle following the notice period.

Blockchain Data

Verification data is recorded on the Arbitrum blockchain. By using the Service, you acknowledge and agree that:

  • Blockchain records are permanent and cannot be deleted or modified
  • Only cryptographic hashes (not personal information) are stored on the blockchain
  • Buyer credentials can be deactivated but the original hash record remains on-chain
  • POShield is not responsible for the operation, security, or availability of the Arbitrum blockchain network

Acceptable Use

You agree not to:

  • Use the Service to facilitate fraud, impersonation, or any illegal activity
  • Register organizations or buyers using false or misleading information
  • Attempt to reverse-engineer, decompile, or extract source code from the browser extension
  • Reproduce, copy, or imitate the POShield verification badge in any communication
  • Use the Service in a manner that interferes with or disrupts the Service for other users
  • Access or attempt to access the Service through automated means (bots, scrapers) without authorization

Intellectual Property

The POShield name, logo, verification badge design, website content, and browser extension are the intellectual property of POShield. You may not use, reproduce, or distribute any POShield intellectual property without prior written permission, except as necessary to use the Service as intended.

Termination

POShield reserves the right to suspend or terminate your access to the Service at any time, with or without cause, including but not limited to violation of these Terms. Upon termination:

  • Your access to the dashboard and verification management will be disabled
  • Buyer verification badges associated with your organization will be deactivated
  • Personal information will be deleted from our database within 30 days upon request
  • Blockchain hash records will remain as they cannot be deleted

You may terminate your account at any time by contacting support@poshield.com.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in Shasta County, California.

Changes to These Terms

POShield reserves the right to modify these Terms at any time. If we make material changes, we will notify registered users by email and update the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
